2.     Follow Springbird on LinkedIn; and

3.     Comment on our post to describe your brand in a 2 line rhyme (E.g. “We had a great logo that everyone loved. We changed to one letter and everyone judged.😉)

1. Background

1.1 Springbird IP Limited is registered in England and Wales under company number 13347797, with its registered office at 86-90 Paul Street, London, England, EC2A 4NE (SB, we, us, our).

1.2 These standard terms and conditions and the Prize Draw Details above, (together, the Terms) are between SB and you, the individual or business (Applicant) that submits an Entry to the Prize Draw (as defined in the Prize Draw Details above).

1.3 These Terms set out the rules around, and criteria for entering the Prize Draw (each application to enter being referred to as an Entry).

2. Entry Criteria and Prize Draw Rules

2.1 Prize Draws are free to enter but are only open to those who meet the Entry Criteria (as defined in the Prize Draw Details and further set out in this section 2).

2.2 If any of the Entry Criteria are not met by Applicants, or if any of these Terms are breached by Applicants, those Applicants will be disqualified from the Prize Draw and will not be eligible to receive the Prize.

2.3 We may hold void, cancel, suspend, or amend the promotion of the Prize Draw where we decide that it is necessary to do so.

2.4 Employees of SB, and anyone who may be directly associated with the administration of the Prize Draw and Prize, are prohibited from entering into the Prize Draw.

2.5 The Applicant may only submit one Entry to this Prize Draw.

2.6 The key dates for the Prize Draw, including the Opening and Closing dates for entries are set out in the Prize Draw Details. Entries received after the Closing Date will not be counted or considered for the Prize.

2.7 We accept no responsibility for Entries not successfully completed or received for any reason, including a technical fault, technical malfunction, computer hardware or software failure, satellite, network or server failure of any kind.

3. Winners and Prizes

3.1 The winner of the Prize (Winner) will be chosen at random on the Draw Date.

3.2 We will announce the Winner of the Prize via the SB LinkedIn page on the Winner Announcement Date. The Winner will also be notified by Direct Message on LinkedIn.

3.3 Our decision about any aspect of the Prize or Prize Draw is final and binding and will not be discussed with any Applicant.

3.4 If, within 5 business days of our message, the selected Winner does not confirm acceptance of the Prize via LinkedIn Direct Message, we will consider this a rejection of the Prize, and will choose another Winner at random and notify the new Winner as soon as possible afterwards.

3.5 We must either publish or make available information that indicates that a valid Prize Draw took place, and that a Prize was awarded to a Winner. To comply with this obligation, we will publish the name of the Winner on the SB LinkedIn page. We may also be required to provide the information contained in the winning Entry to the Advertising Standards Authority on request.

3.6 We may also publish the name of the Winner’s Eligible Business, and any relevant trade marks and some or all of the names and/or logos of the other Prize Draw Applicants. By their submission of an Entry, Applicants grant us a non-exclusive, non-transferable, revocable licence to use their name, and the name of the Eligible Business, and any relevant trade marks for this purpose.

4. Limitation of Liability

4.1 Nothing in these Terms will operate to exclude or limit either party’s liability for:

  • death or personal injury caused by its negligence; or
  • any breach of the terms implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982; or
  • fraud; or
  • any other liability which cannot be excluded or limited under applicable law.

4.2 Other than as listed in clause 4.1, we will not in any circumstances be responsible or liable to Applicants for any losses, costs or expenses arising in connection with the submission of their Application. Our provision of the Prize, and any losses costs or expenses suffered by the Winner in connection with the same, will be subject to the limitations of liability in SB’s Terms and Conditions of Business.

5. Data protection

Personal data supplied during the course of the Prize Draw will only be processed as set out in our Privacy Notice. See also sections 3.5 and3.6 of these Terms with regard to the sharing of information.

6. General

6.1 Entire agreement. These Terms (together with SB’s Terms of Business, where applicable in connection with the Prize) constitute the entire agreement and understanding between the parties in relation to the Prize Draw and supersedes any previous agreement or understanding between them in relation to such subject matter.

6.2 Events outside the parties’ control. We reserve the right to hold void, suspend, or amend these Terms where it becomes necessary to do so for reasons outside our control.

6.3 Waiver. No failure or delay by either party to exercise any right or remedy under these Terms shall be construed as a waiver of any other right or remedy.

6.4 Notices. All notices and other communications in relation to these Terms shall be in writing and shall be deemed to have been duly given if personally delivered, e-mailed, or mailed (first class postage prepaid) to the address of the relevant party, as referred to above or otherwise notified in writing. If personally delivered or if emailed all such communications shall be deemed to have been given when received (except that if received on a non-working day or after 5.00 pm on any working day they shall be deemed received on the next working day) and if mailed all such communications shall be deemed to have been given and received on the second working day following such mailing.

6.5 No partnership or agency. These Terms shall not create any partnership or joint venture between us and the Applicant/Winner nor any relationship of principal and agent, nor authorise any party to make or enter into any commitments for or on behalf of the other party.

6.6 Third party rights. These Terms do not and are not intended to confer any contractual benefit on any person pursuant to the terms of the Contracts (Rights of Third Parties) Act 1999.

6.7 Governing law and jurisdiction. The Prize Draw and awarding of the Prize, and any matter arising out of or in connection with these Terms will be governed by English law and Applicants of the Prize Draw submit to the exclusive jurisdiction of the English courts.
